TERMS of SERVICE
What we mean here is what we will provide you with, what you can expect and also what we expect from you. These terms apply when you use the ScriptX.Services for Cloud.
By using our Service, you agree to these terms (the “ScriptX.Services for Cloud Terms”). As used in the Agreement, “you” or “publisher” means the individual or entity using the Services (and/or any individual, entity or successor entity, agency or network acting on your behalf), “we” or “us” means Mead & Co Ltd. and it's contractors, and the “parties” means you and Mead & Co Ltd.
1. You
You represent and warrant that you have full power and authority to enter into the Agreement and entering into or performing under the Agreement will not violate any agreement you have with a third party or any third-party rights.
2. Your Content
You represent and warrant that you have all the rights to the Content and that none of the Content: (a) infringes, misappropriates or violates any Intellectual Property Rights; (b) contains any viruses or programming routines intended to damage, surreptitiously intercept or expropriate any system, data or personal information; or (c) is false, misleading or inaccurate.
3. Content License
By using the service, you grant Mead & Co Ltd. the right to use, modify, adapt and reproduce your Content to the extent necessary to provide the Service - i.e. to produce a new representation of your Content.
4. Using our Services
You may use our Services only as permitted by this Agreement and any applicable laws. Don’t misuse our Services. You may discontinue your use of any Service at any time.
5. Termination
You may terminate the Agreement by ceasing to use the Service.
6. Changes to the Services and/or Agreement
We are constantly changing and improving our Services. We may add or remove functionalities or features of the Services at any time, and we may suspend or stop a Service altogether.
The Agreement is our entire agreement relating to your use of the Services and supersedes any prior or contemporaneous agreements on that subject. We may modify the Agreement at any time. We’ll post any modifications to the Terms on this page. Changes are effective immediately. If you don’t agree to any modified terms in the Agreement, you’ll have to stop using the Services.
7. Privacy
You consent that we may contact you using the email address provided by you.
Our privacy policy explains how we treat your personal data and protect your privacy when you use our Services. By using our Services, you agree to our privacy policy.
8. Indemnity
You agree to indemnify and defend Mead & Co Ltd. from and against any and all third-party claims and liabilities arising out of or related to your use of the Services, or your breach of any term of the Agreement.
9. No Warranties
To the maximum extent permitted by applicable law, Mead & Co Ltd. expressly disclaims any warranty for the SERVICES. The SERVICES and any related documentation are provided "as is" without warranty of any kind, either express or implied, including, without limitation, the implied warranties of merchantability or fitness for a particular purpose. The entire risk arising out of use or performance of the SERVICES remains with you.
10. Limitation of Liability
Mead & Co Ltd.'s entire liability and your exclusive remedy under this agreement shall not exceed five dollars (US$5.00).
11. Miscellaneous
All claims arising out of or relating to this Agreement or the Services will be governed by British law. Should you have any questions concerning these terms, or if you desire to contact Mead & Co Ltd. for any reason, please use the contact us form.
